We are seeking a dynamic and experienced Corporate and Real Estate Paralegal to join our thriving technology company. This is a unique opportunity to work on a variety of complex transactions, including acquisitions, dispositions, financings, joint ventures, and real estate development projects. The ideal candidate will have a strong background in corporate law, due diligence, real estate escrow, and real estate title. This is a permanent, full-time position that offers a competitive salary and benefits package.
Responsibilities:
1. Assist in all aspects of corporate transactions, including the preparation of documents, due diligence, closing mechanics, and post-closing follow-up.
2. Coordinate and manage real estate escrow processes, including preparing and reviewing escrow instructions, ensuring funds are deposited correctly, and communicating with escrow officers.
3. Conduct comprehensive real estate title examinations, prepare title commitments and policies, and resolve any title defects.
4. Draft, review, and negotiate a wide range of legal documents, including purchase and sale agreements, lease agreements, financing documents, and corporate documents.
5. Conduct thorough legal research and analysis to support business decisions and advise management on legal rights and obligations.
6. Collaborate with internal teams and external counsel to ensure all legal and regulatory requirements are met.
7. Maintain organized and up-to-date files and records of all transactions and legal matters.
Qualifications:
1. Bachelor's degree required; Paralegal certification preferred.
2. Minimum of 5 years of experience as a Paralegal, must have Real Estate Experience
3. Proficient knowledge of corporate law, due diligence, real estate escrow, and real estate title.
4. Strong understanding of legal principles and practices, including contract law, property law, and corporate governance.
5. Exceptional attention to detail and the ability to manage multiple projects and deadlines simultaneously.
6. Excellent verbal and written communication skills, with the ability to effectively communicate complex legal concepts to non-legal personnel.
7. Proficient in Microsoft Office Suite and legal research tools.
8. Strong analytical and problem-solving skills, with the ability to think strategically and make sound business decisions.
9. High degree of professionalism and confidentiality, with a strong commitment to ethical conduct.
10. Must be a self-starter with the ability to work independently and as part of a team.
